Subscription Terms (Business Analytics Suite)

Applies to: Merchants subscribing to optional add-on services

1. Overview

These Subscription Terms govern the provision by Stratosyte Pty Ltd (ABN 95 682 286 326) of optional subscription-based services offered to Merchants through the KeepMyBooking Platform ("Subscription Services"). These terms apply in addition to the Business Partner Agreement.

2. Current Offering - Business Analytics Suite

The Business Analytics Suite provides Merchants with access to:

  • Business Performance Analytics: Booking, revenue, cancellation, and export tools for the selected date range.
  • Coupon Analytics: Usage, discount, and customer metrics for coupons created on the Platform.
  • Flexible date ranges: Quick periods (e.g. last 7, 30, or 90 days, this month, next month) and custom ranges where supported in the app.
  • Data export: Downloadable appointment and payment report (CSV) for the selected period.

Features are as described in the Platform at the time of subscription. KeepMyBooking reserves the right to add, modify, or discontinue features on reasonable notice (see Section 10).

3. Subscription Plans and Pricing

Subscription plans, pricing, and billing cycles are as displayed in the Platform's subscription management section at the time of purchase. Prices are inclusive of GST where applicable. KeepMyBooking reserves the right to amend subscription pricing with not less than 30 days' prior notice to existing subscribers.

Pricing pages, plan descriptions, and billing disclosures form part of these Subscription Terms to the extent they are presented to you at the time of purchase.

4. Billing Cycles

Subscriptions are billed on a recurring basis (monthly or annual, as selected at signup). Your first billing period commences on the date of subscription activation. Subsequent billing periods commence on the same calendar date each month or year.

5. Auto-Renewal Disclosure

IMPORTANT: Your subscription will automatically renew at the end of each billing period unless you cancel your subscription before the applicable renewal date. By purchasing a subscription, you expressly authorise KeepMyBooking to charge the payment method nominated by you on a recurring basis for all applicable subscription fees until your subscription is cancelled.

KeepMyBooking will provide a renewal reminder notice at least seven (7) days before each renewal date. Renewal charges will be billed at the subscription fee in effect at the time of renewal, as notified to you in accordance with these Terms.

KeepMyBooking may change its subscription fees from time to time. Where a change to the subscription fee will apply to a future renewal term, KeepMyBooking will provide at least thirty (30) days' prior notice of the updated fee. If you do not agree to the updated fee, you may cancel your subscription before the renewal date without incurring any cancellation fee. If you do not cancel your subscription before the renewal date, the subscription will renew and the updated subscription fee will apply.

You may cancel your subscription at any time through your account settings or by contacting KeepMyBooking. Unless otherwise stated, cancellation will take effect at the end of the current billing period, and no refund will be provided for any unused portion of the subscription period, except where required by applicable law.

You are responsible for ensuring that your nominated payment method remains current, valid, and capable of accepting charges. If a payment cannot be successfully processed, KeepMyBooking may notify you and provide an opportunity to update your payment details. KeepMyBooking reserves the right to suspend or terminate your subscription if payment remains outstanding.

Nothing in this clause excludes, restricts, or modifies any consumer guarantees, rights, or remedies that cannot be excluded under the Australian Consumer Law or any other applicable law.

6. Cancellation Process

You may cancel your subscription at any time via the subscription management section in the Platform. Cancellation takes effect at the end of your current billing cycle. You retain access to subscription features until the end of the paid period. We do not provide pro-rated refunds for cancellations made mid-cycle, unless required by law.

7. Payment and Failed Payment Process

Subscription fees are charged to your nominated payment method via Stripe at the commencement of each billing cycle. If a payment fails:

  • We will notify you immediately and retry payment within 3 business days.
  • If payment remains unsuccessful after retry, your subscription access may be suspended.
  • If payment is not resolved within 14 days of initial failure, your subscription will be cancelled and Analytics Suite access removed.
  • Reactivation requires re-subscription at the then-current price.

8. Upgrades and Downgrades

Upgrades take effect immediately with a pro-rated charge for the remainder of the current billing cycle. Downgrades take effect at the start of the next billing cycle. No refund is provided for a downgrade made mid-cycle.

9. Cancellation by KeepMyBooking

We may cancel, suspend, or modify your subscription with immediate effect where reasonably necessary for your breach, payment failure, fraud risk, misuse, legal compliance, security, product discontinuation, or technical or commercial reasons. If we cancel other than due to your breach and applicable law requires a refund, we will provide any refund required by law or expressly stated in these Subscription Terms.

10. Feature Changes

KeepMyBooking may add, modify, suspend, or discontinue Subscription Service features at any time. For material reductions in core paid features, we will use reasonable endeavours to provide prior notice where practicable. If applicable law requires a remedy for a material adverse change, we will provide that remedy. Otherwise, any refund is at our discretion unless these Subscription Terms expressly state otherwise.

11. Refund Policy for Subscriptions

Subscription fees are non-refundable except:

  • Where required by Australian Consumer Law (e.g., where the service is not provided with acceptable quality).
  • Where KeepMyBooking cancels the subscription other than due to the Merchant's breach - pro-rated refund applies.
  • Where a material feature reduction occurs and the Merchant elects to cancel - pro-rated refund applies.

Nothing in these Subscription Terms excludes, restricts, or modifies any rights or remedies that cannot lawfully be excluded, restricted, or modified under applicable law.

12. Analytics Data Disclaimer

Analytics data presented in the Business Analytics Suite is derived from Platform booking activity and other data sources made available through the Platform and is provided for general informational purposes only. KeepMyBooking does not warrant the accuracy, completeness, timeliness, availability, or fitness for purpose of analytics data. Analytics outputs may be affected by user inputs, booking changes, sync issues, outages, delays, configuration choices, or third-party dependencies.

You must not rely solely on Platform analytics for material business, staffing, financial, tax, legal, or strategic decisions without independent verification and, where appropriate, professional advice.

13. Governing Law

For subscribers operating in Australia: These Subscription Terms are governed by the laws of the State or Territory in Australia in which the subscriber's principal place of business is located, together with the laws of the Commonwealth of Australia, and each party submits to the non-exclusive jurisdiction of the courts of that State or Territory and the Commonwealth. For subscribers operating in New Zealand, applicable New Zealand law also applies.
